These Terms of Service (“Terms”) govern your use of SyncTec, operated by SyncTec Inc. Please read these Terms carefully before using our Service. These Terms constitute a legally binding agreement between you and SyncTec Inc.
1. Acceptance of terms
By accessing or using SyncTec ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. We may update these terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised terms.
2. Description of service
SyncTec provides a platform for synchronising product data, collections, and related information across multiple Shopify stores. The Service operates as a Shopify App and requires a valid Shopify store to function.
3. Account registration
Eligibility
You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your organisation. By using SyncTec, you represent that you meet these requirements.
Account security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@storelink.io if you suspect unauthorised access.
Accurate information
You agree to provide accurate, current, and complete information during registration and to keep this information up to date.
4. Acceptable use
Permitted use
You may use SyncTec solely for your own legitimate business purposes — synchronising product data across Shopify stores that you own or are authorised to manage.
Prohibited conduct
You may not: (a) use the Service to violate any law or regulation; (b) interfere with or disrupt the Service or servers connected to it; (c) attempt to gain unauthorised access to any part of the Service; (d) reverse-engineer, decompile, or disassemble any part of the Service; (e) resell or sublicence access to the Service without our written consent; (f) use the Service in a way that exceeds reasonable usage or places undue load on our infrastructure.
5. Subscription and billing
Plans and fees
SyncTec offers free and paid subscription tiers as described at storelink.io/pricing. Paid plans are billed monthly or annually as selected at sign-up. Prices are subject to change with 30 days' notice.
Free trial
New accounts may be eligible for a free trial period. No charge is made during the trial. If you do not cancel before the trial ends, your selected paid plan will be billed at the start of the next billing period.
Cancellation and refunds
You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not offer refunds for partial billing periods, except where required by applicable law.
6. Intellectual property
Our IP
The Service, including its software, design, and content, is owned by SyncTec Inc. and protected by copyright, trademark, and other laws. Nothing in these Terms grants you ownership rights in the Service.
Your data
You retain all rights to your store data. You grant SyncTec a limited, non-exclusive licence to access and process your data solely to provide and improve the Service.
7. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
8. Limitation of liability
To the maximum extent permitted by applicable law, SyncTec Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, or goodwill — arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid to SyncTec in the 12 months preceding the claim.
9. Termination
We may suspend or terminate your access to the Service at any time for violations of these Terms, non-payment, or at our sole discretion with reasonable notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including IP rights, disclaimers, and limitations of liability.
10. Governing law
These Terms shall be governed by the laws of New Zealand, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be resolved in the courts of New Zealand, and you consent to personal jurisdiction in those courts.
